Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you” or “User”) and AIQA Inc., 1111B S Governors Ave, STE 28743, Dover, DE 19904, USA (“AIQA”, “we”, “our” or “us”), governing your use of Qalti and any related websites, services, or content (collectively, the “Service”).
1. Acceptance of Terms
By accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Description of Service
Qalti provides AI-assisted iOS application-testing tooling in a pre-release (“beta”) phase. Subscription plans, usage tiers, and current pricing are displayed inside the Service dashboard once you receive access. Until you select or are assigned a plan through an in-app checkout, order form, or other mutually accepted mechanism, your use of the Service is on an evaluation basis subject to these Terms, and AIQA may limit features, usage, or duration in its discretion.
3. Eligibility
You must be at least 16 years old and legally capable of entering a contract. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity.
4. Account Registration
You may need an account to access certain features. You agree to provide accurate information and keep it up to date. You are responsible for safeguarding your credentials and for any activities under your account.
5. License Grant & Restrictions
AIQA grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes and in accordance with these Terms. You shall not:
reverse engineer, decompile, or disassemble the Service;
use the Service to infringe any third-party rights or applicable laws;
circumvent or attempt to circumvent security or usage limits;
copy, frame, or mirror any part of the Service without prior written consent.
6. Beta / No-Charge Terms
The Service is provided “as-is” while in beta. Features may be added, modified, or removed at any time. AIQA offers no SLA or uptime commitment during this period and may suspend or terminate the Service with or without notice.
7. Acceptable Use
You agree not to:
upload or disseminate any malware, illegal, or infringing content;
attempt to access data not intended for you;
interfere with or disrupt the Service or servers;
conduct automated scraping or mass-collection of Qalti content.
8. Intellectual Property
Qalti, including all software, documentation, and branding, belongs to AIQA and its licensors. All rights not expressly granted remain reserved. You retain ownership of any test cases, scripts, or data you upload (“User Content”). You grant AIQA a worldwide, royalty-free licence to use User Content solely to deliver and improve the Service.
9. Confidentiality
Each party agrees to keep the other’s non-public information confidential and to use it only to fulfil these Terms, unless required by law.
10. Feedback
If you provide feedback or suggestions, you grant AIQA a perpetual, irrevocable, royalty-free licence to use and incorporate them without restriction or obligation.
11. Privacy
Your use of the Service is also governed by our Privacy Policy.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. YOUR USE IS AT YOUR SOLE RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIQA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. AIQA’S TOTAL LIABILITY SHALL NOT EXCEED USD 100.
14. Indemnification
You agree to indemnify and hold harmless AIQA and its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Service or violation of these Terms.
15. Modifications to Service & Terms
AIQA may modify the Service or these Terms at any time. We will notify you of material changes via the website or e-mail at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute shall be resolved exclusively by binding arbitration in Wilmington, Delaware, under the Commercial Arbitration Rules of the American Arbitration Association. You waive any right to participate in class actions.
17. Notices
Qalti may send notices to the e-mail address associated with your account. You may send legal notices to legal@qalti.com.
18. General
If any provision is held unenforceable, the remainder of the Terms will remain in effect. No waiver is effective unless in writing. You may not assign these Terms without AIQA’s consent; AIQA may assign them in connection with a merger, acquisition, or sale of assets.
